Terms and Conditions
These terms apply to fixed price offers and lump sum works carried out by Axis Project GmbH in Dubai and the United Arab Emirates, unless otherwise agreed in writing.

1. Scope of works
Our fixed price offer is based exclusively on the scope of works, quantities, specifications, drawings, site information and assumptions expressly stated in our quotation.
Any works, quantities, materials, specifications, site conditions or requirements not expressly included in our quotation are excluded from the fixed price and are charged separately, subject to prior written approval.
2. Fixed price
The quoted fixed price covers the services and materials specifically described in the quotation. It is based on normal working conditions, uninterrupted access to the work areas, and execution during regular working hours, unless otherwise stated.
The fixed price does not include additional works, variations, acceleration measures, waiting times, re-mobilisation, out of hours work, third party costs, authority fees, permits, customs duties, storage costs, special access equipment, scaffolding, or any other item not expressly included in the quotation.
3. Validity of offer
Unless otherwise stated in the quotation, our offer remains valid for 90 calendar days from the date of issue. After that period, prices, availability and execution dates are subject to confirmation.
4. Currency and taxes
All prices are quoted in AED, unless otherwise stated.
All prices exclude VAT, withholding taxes, customs duties, import duties, bank charges and any other applicable taxes, fees or levies, unless expressly stated otherwise. Where VAT applies under UAE law, it is added to the invoice at the applicable statutory rate.
5. Payment terms
Unless otherwise agreed in writing, invoices are payable within 10 calendar days from the invoice date, without deduction, set-off or retention.
The customer may not withhold payment because of minor defects that do not materially prevent use of the completed works. Any agreed retention must be expressly stated in the quotation or contract.
6. Order confirmation
A binding order requires written acceptance of our quotation by the customer. Acceptance may be given by signed quotation.
By confirming the order, the customer confirms that the person issuing the acceptance is duly authorised to bind the customer.
7. Site conditions and customer obligations
Before works begin, the customer ensures at its own cost that:
- free and safe access to all work areas is available
- the work areas are cleared, accessible and ready for execution
- adequate lighting, ventilation, temperature and humidity conditions are provided
- power, water, waste disposal and sanitary facilities are available
- required scaffolding, lifting equipment, permits and site passes are provided, unless expressly included in our quotation
- all preceding works by third parties are completed and suitable for our works
- security, site coordination and access permissions are arranged
Delays or additional costs resulting from unavailable access, incomplete preceding works, missing approvals, changed site conditions or interruptions on the customer side are charged separately.
8. Working hours
The fixed price is based on execution during normal working hours, Sunday to Thursday, excluding UAE public holidays, unless otherwise stated.
Evening, night, weekend, Friday or public holiday works are not included and may carry additional charges, unless expressly included in the quotation.
9. Variations and additional works
Any change to the agreed scope of works, specifications, quantities, materials, colours, execution sequence, site conditions or programme is treated as a variation.
Variations and additional works are quoted separately and require written approval before execution. If immediate execution is required to avoid delay, the works may be charged on a reasonable cost plus basis. Additional works may affect the agreed completion date.
10. Materials and special orders
The fixed price includes only the materials expressly listed in the quotation.
Special order materials, custom colours, imported items, samples, mock-ups, expedited deliveries and non-standard materials are subject to availability and separate pricing.
Cancellation or changes to special order materials after procurement may not be possible. Any costs incurred are borne by the customer.
11. Programme and completion dates
Any stated execution period or completion date is based on the information available at the time of quotation, and assumes timely order confirmation, advance payment, material availability, access to the site and completion of all customer obligations.
Completion dates are extended appropriately in case of delays caused by the customer, third parties, authorities, force majeure, delayed materials, site restrictions, variations or events outside our reasonable control.
12. Handover and acceptance
Upon completion, the works are inspected jointly by the parties. Any visible defects or outstanding items must be recorded in writing at handover.
If the customer does not inspect the works within 3 calendar days after notification of completion, or if the works are taken into use, the works are deemed accepted, except for hidden defects.
Minor defects or snagging items that do not materially prevent use of the works do not entitle the customer to refuse acceptance or withhold payment in full.
13. Exclusions
Unless expressly included in the quotation, the following are excluded:
- authority approvals, permits and government fees
- design, engineering, structural calculations or shop drawings
- scaffolding, lifting equipment, cranes, access platforms and special access
- protection of third party works, unless specified
- removal or disposal of hazardous substances
- final cleaning, fine cleaning or specialist cleaning
- storage, security or protection after completion
- repair of defects caused by third parties, previous works or unsuitable substrates
- works outside the described scope
- overtime, night work, weekend work or work on public holidays, unless agreed with us in advance and charged separately at additional rates
14. Existing structures, substrates and third party works
Our quotation assumes that all existing substrates, structures and preceding works are suitable for the intended works.
We are not responsible for defects, delays or additional costs caused by unsuitable substrates, hidden defects, moisture, movement, contamination, poor preceding works, design errors or work performed by third parties.
Where we carry out repairs or remedial works to existing or third party works, no warranty is given for the underlying structure, substrate or third party performance.
15. Warranty and liability
We warrant that our works are carried out with reasonable skill and care and in accordance with the agreed specification.
Our liability is limited to defects directly caused by our own workmanship or materials supplied by us. We are not liable for indirect losses, loss of profit, loss of use, delay damages, consequential damages, or damage caused by third parties, improper use, lack of maintenance, unsuitable site conditions or customer instructions.
Nothing in these terms excludes liability where such exclusion is not permitted under applicable law.
16. Risk and title
Risk in delivered materials passes to the customer upon delivery to site.
Title to materials supplied by us remains with us until full payment of all outstanding amounts has been received, to the extent permitted by applicable law.
17. Suspension of works
We may suspend works if payments are overdue, required information or approvals are missing, site conditions are unsafe, access is not available, or the customer fails to meet its obligations.
Any resulting delay, re-mobilisation cost or additional expense is borne by the customer.
18. Force majeure
We are not liable for delays or non-performance caused by events beyond our reasonable control, including government restrictions, authority delays, import delays, strikes, extreme weather, fire, epidemic, transport disruption, material shortages or other force majeure events.
19. Governing law and jurisdiction
The quotation and any contract arising from it are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The courts of Dubai have jurisdiction, unless otherwise agreed in writing.
20. Entire agreement
The quotation, these terms and any expressly agreed written documents constitute the entire agreement between the parties. Customer terms and conditions do not apply unless expressly accepted by us in writing.
